The Service
 ConneXion360 provides users with access to in-depth clinical information through its live and/or on-demand broadcasts (the "Service"). All information available through the Service is intended for healthcare professionals only. If you are not a healthcare professional, stop now.

While we hope you find the Service helpful, Service content is not meant to, nor should it serve, as a substitute for your own clinical judgment as a healthcare professional. ConneXion360 is not a medical provider and does not provide medical advice

Proprietary Rights
 You acknowledge and agree that the Service and information, and/or content presented to you through the Service or used in connection with the Service, contain proprietary and confidential information that is protected under United States and international intellectual property laws, including copyright, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by us or our clients, you agree not to sell, rewrite, modify, redistribute, or create derivative works of any information presented to you through the Service, in whole or in part.

You may not remove any copyright notices from our materials. We reserve all of our other rights not granted in these Terms of Use. You agree not to access the Service by any means other than through the interface that is provided by us for use in accessing the Service.

Information That You Provide to the Service
 When you provide us information specifically relating to the Service, you give us an irrevocable, perpetual license to use, reproduce, modify, adapt, publicly perform and publicly display that information in connection with the Service. For example, if you participate in one of our broadcasts and post a question to a Program Presenter, you grant ConneXion360 the right to display that question through the Service for as long as we want.

Laws That Govern This Agreement
 ConneXion360 is based in Dallas, Texas. The Service can be accessed from any of the United States and from other countries worldwide. Since the laws of each state or country able to access the Service may differ, by accessing the Service, you and ConneXion360 agree that the statutes and laws of the state of Texas, without regard to choice of laws principles, will apply to all matters relating to use of the Service. The provisions of this Agreement are severable, and in the event any provision hereof is determined to be invalid or unenforceable, such invalidity or unenforceability shall not in any way affect the validity or enforceability of the remaining provisions hereof..

Acceptance Procedure
 By using the Service, or registering, you agree with all the terms and conditions of these Terms of Use. We reserve the right, in our sole discretion, to change these Terms of Use from time to time, and your continuing use of the Service constitutes your acceptance of and agreement to any changed terms and conditions..

Consequences
 You agree to hold ConneXion360 harmless against any liability related to your violation of these Terms of Use that may cause harm to others. Any and all disputes between ConneXion360 and any users regarding this Agreement shall be submitted to non-binding mediation, and then, if needed, to binding arbitration. Both the mediation and the arbitration will be governed under the rules of the American Arbitration Association, and the venue for the arbitration shall be Texas.

Termination and Modification
 You agree that ConneXion360 may, under certain circumstances and without prior notice, discontinue, temporarily or permanently, the Service (or any part thereof) or eliminate your account, any associated e-mail address, and remove any information you uploaded or provided to the Service with or without notice. Cause for termination shall include, but not be limited to, (a) breaches or violations of these Terms of Use or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) discontinuance or material modification to the Service (or any part thereof), (d) unexpected technical or security issues or problems, and/or (e) engagement by you in fraudulent or illegal activities. You agree that all terminations shall be made in the sole discretion of ConneXion360, and that ConneXion360 shall not be liable to you or any third party for any termination of your account, any associated e-mail address, or access to the Service.

Indemnity
 You agree to defend, indemnify, and hold ConneXion360, its respective officers, directors, employees, agents, clients, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of these Terms of Use.

Warranty
 The information on our corporate Web site www.connexion360.com and in our Service is presented for informational purposes only. Any e-mail, correspondence, and/or Service from us, is provided for information purposes only. Information provided is "as is" with all faults and without warranty of any kind, expressed or implied, including those of merchantability and fitness for a particular purpose. ConneXion360 makes no warranties or representations regarding the accuracy or completeness of the information. In no event shall ConneXion360, its directors or employees, or any affiliate organizations be liable for any damages, including incidental or consequential damages, lost profits, or lost data, or any indirect damages even if we have been informed of the possibility thereof.

Complete Agreement
